Terms of Service

Effective date: May 4, 2026 · These Terms form an agreement between you and SEOPILOT LTD (“SEOPILOT”, “we”, “us”) regarding your access to the Static Dist Client website and any related services you order under a separate order form.

1. Eligibility

You must be at least the age of majority in your jurisdiction and capable of entering a binding contract to use our services on behalf of yourself or an organization you represent.

2. Services

Static Dist Client provides static asset distribution, developer tooling, and related features as described on our website and in applicable order forms. Features may evolve; we will use commercially reasonable efforts to communicate material changes to paying customers.

3. Accounts and security

You are responsible for safeguarding credentials and API tokens. Notify us promptly of unauthorized use. You agree that account information you provide is accurate and kept up to date.

4. Acceptable use

You will not misuse the services, including by attempting to probe, scan, or test the vulnerability of any system without authorization; by distributing malware; by infringing intellectual property; by transmitting unlawful content; or by interfering with other customers’ traffic. We may suspend or terminate access for violations.

5. Customer content

You retain rights to content you upload (“Customer Content”). You grant us a limited license to host, cache, transmit, and display Customer Content solely to provide the services. You represent that you have necessary rights and that your content complies with law and these Terms.

6. Fees and taxes

Paid plans are billed according to the pricing page or executed order form. Fees are exclusive of applicable taxes unless stated otherwise. Late payments may incur interest as permitted by law.

7. Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect such information and use it only for the purposes of the agreement.

8. Warranties disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN AN EXECUTED AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF GREATER, ONE HUNDRED US DOLLARS WHERE NO FEES WERE PAID).

10. Indemnity

You will defend and indemnify SEOPILOT and its affiliates against third-party claims arising from Customer Content or your misuse of the services, subject to our prompt notice and reasonable cooperation.

11. Suspension and termination

We may suspend access for security or legal reasons. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. Sections intended to survive will survive termination.

12. Governing law and disputes

Unless otherwise agreed in writing, these Terms are governed by the laws of the Republic of Cyprus, excluding conflict-of-law rules. Courts in Limassol, Cyprus, will have exclusive jurisdiction, subject to any non-waivable rights you may have under consumer protection laws in your country.

13. Export compliance

You will comply with applicable export control and sanctions laws and will not use the services in prohibited jurisdictions or end uses.

14. Changes

We may update these Terms by posting a revised version. If you are a paying customer, material adverse changes will take effect as described in your order form or with reasonable advance notice where required.
